// 1. Service Agreement

These Terms of Service ("Terms") govern the provision of computer and IT services ("Services") by Front Range Computer Services, LLC ("Provider") to the client ("Client"). The specific scope, deliverables, and timelines for Services are defined in an agreed proposal, statement of work, or service agreement, incorporated by reference.

// 2. Payment Terms

Client agrees to compensate the Provider according to the fee structure defined in the applicable service agreement. Invoices are due upon receipt unless otherwise stated. Hardware, software licenses, subscriptions, and third-party service fees are the responsibility of the Client unless expressly included in writing.

// 3. Legal Disclaimers & Limitation of Liability

Provider will perform Services with reasonable skill and care consistent with industry standards. However, Provider does not guarantee uninterrupted operation, complete prevention of cyber threats, or specific business outcomes. To the extent permitted by law, Provider's liability for claims arising under this agreement will not exceed the fees paid by Client for Services in the one (1) month prior to the claim.

// 4. Confidentiality

Each party (the "Receiving Party") agrees to protect and keep confidential all proprietary and confidential information ("Confidential Information") disclosed by the other party (the "Disclosing Party"). Confidential Information will be used only as necessary to perform obligations under this agreement.

// 5. Client Obligations

Client shall provide timely access to systems, equipment, credentials, personnel, and information required for Provider to perform Services. Client is responsible for maintaining lawful software licensing and ensuring information provided is accurate and legally compliant.

// 6. Term and Termination

The term of this agreement will be defined in the service agreement. Either party may terminate as permitted by that agreement, including with written notice where applicable. Upon termination, Client shall pay for Services rendered and approved expenses incurred through the effective termination date.

// 7. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which Front Range Computer Services, LLC is registered, without regard to conflict of law principles.
